Independent Delivery Partner Agreement

This Independent Delivery Partner Agreement ("Agreement") governs your participation as an independent delivery driver on the Colibrí platform. By activating your delivery account you accept this Agreement in addition to the general Terms of Service.

1. Independent contractor relationship

You provide delivery services as an independent contractor, not as an employee, agent or partner of Colibrí. You control whether, when and how often you go online to receive delivery opportunities, and you are free to use other delivery platforms.

2. Bidding in the delivery auction

When a customer places an immediate or same-day priority order near you, you will receive a notification with the pickup location, an estimated distance, and the customer's proposed delivery fee. You may accept the proposed fee or submit a counter-bid within the bidding window; the customer decides which bid to accept. You are never obligated to bid on any given order.

3. Bond deposit and cash payments

Accepting cash payments from customers requires maintaining a minimum bond balance, set per country, as a safeguard against unremitted cash. Drivers who do not wish to hold a bond may continue to receive card-paid orders without restriction.

Your maximum permitted cash-on-hand balance is capped per your country's configuration; you must remit collected cash according to the settlement schedule described in the driver app.

4. Payouts

100% of your accepted delivery fees and tips are transferred to your connected Stripe account on the weekly payout schedule, net of any cash you have already collected directly from customers. You may request an instant payout at any time for a 1% expedite fee.

5. Pickup, drop-off and proof of delivery

Pickup and drop-off are verified using signed QR codes scanned at the branch or warehouse and at the customer's location. Proof-of-delivery photos are validated server-side against the GPS coordinates embedded in the photo and must be captured within the configured geofence of the delivery address.

6. Fatigue management and shift limits

To promote road safety, the platform enforces a maximum number of active hours per day and a mandatory rest period between shifts, both configured per country. You will be prevented from going back online until the mandatory rest period has elapsed.

7. Strikes and suspension

Repeated no-shows, failed proof-of-delivery validation, or claims resolved against you may result in a strike and, where a bond applies, a debit from your bond balance. Accumulating strikes beyond the threshold configured for your country, or failing to maintain the minimum bond balance required to keep accepting cash orders, may result in suspension pending review by our support team.

8. Vehicle requirements and insurance

You are responsible for maintaining your vehicle in safe operating condition and for carrying any insurance required by your local law for commercial or gig delivery use. Colibrí does not provide vehicle insurance and is not responsible for damage to your vehicle or third-party claims arising from your use of it.

9. Termination

Either party may end this Agreement at any time. Colibrí may deactivate your delivery account immediately in cases of fraud, safety violations, or repeated breaches of this Agreement.
